The Doctrine of Privity and Its Constraints on Subconscious Access
Article Abstract:
Recent decisions on the issue of subcontractor privity have been made. These court decisions affect a subcontractor's right to appeal, a contracting officer's right to appeal, a contracting officer's decision, or protest an award or sue the government for non-payment by the prime upon termination. If a subcontractor wants to appeal a contracting officer's decision he must first satisfy a legal doctrine called privity. Privity is essential to maintaining any action on a contract. Privity always exists between the buyer (government) and the seller (prime contractor). As a result of certain court decisions, the burden of establishing the prime contractor has no liability to its subcontractor for the latter's damages are on the government. Several other decisions have been made. From the subcontractor's view, settlement by arbitration or law are reasonable methods to resolve disputes. Subcontractors should reach an agreement that the prime will sponsor and certify all claims asserted by the subcontractor.
