Legal, regulatory hurdles foil N.J.-Delaware Blues merger

Article Abstract:

The New Jersey and Delaware Blue Cross/Shield plans have called off their planned merger, due to various regulatory and legal hurdles. Under the plan, Blue Cross Blue Shield of New Jersey would have acquired the Delaware plans. Controversy over how the nonprofit health insurers, once joined, would use their charitable resources had erupted in both states. Blue Cross/Shield of New Jersey spokesperson Fred Hillmann indicated that the insurers are discussing alternative ways of collaborating.

Court lifts legal hurdle blocking Illinois, Texas Blues merger

Article Abstract:

A merger between Texas and Illinois Blue Cross Blue Shield plans has been declared legal by a Texas district court. A suit had blocked the merger, alleging that the Illinois plan could become for-profit with a simple vote, violating Texas nonprofit merger laws. The court ruled that the Texas plan was not a charity that had assets that would be jeopardized by the merger.

Texas attorney general tried to block merger of two Blues

Article Abstract:

Texas Attorney General Dan Morales has filed a lawsuit to block a proposed merger between the Texas and Illinois Blue Cross and Blue Shield plans. Morales filed the suit on Nov 14, 1996, claiming that the Blues plan violates the state's Nonprofit Corporation Act which prohibits mergers between mutual insurers and non-profits.
