Duties of care under the Revised Uniform Partnership Act
Article Abstract:
The 1994 Revised Uniform Partnership Act's (RUPA) standard of gross negligence provides motivation for partners to abide by duty of care and also ensures greater judicial predictability than would exist without the standard. The 1914 Uniform Partnership Act provided principles by which disputes among partners not bound by specific agreements could be resolved, but did not address specific duty of care. The RUPA addresses duty of care and its gross negligence standard diverges from case law based on an ordinary care standard.
