Rule 14b-2: does it actually lead to the prompt forwarding of communications to beneficial owners of securities?
Article Abstract:
The SEC's Rule 14b-2 contains rules for communicating with beneficial owners of stock regarding decisions of corporate governance and are inadequate to serve that purpose. The rules were meant to address the increased use of nominees and proxy voting where beneficial owners were denied information necessary to make reasoned choices regarding the corporations in which they owned stock. New rules should be instituted which would allow shareholders to receive proper information from management and insurgents, perhaps through the medium of the Internet.

New constructive sale rules make it tougher to avoid tax on built-in gain
Article Abstract:
Several constructive sales such as collar transactions survived the Taxpayer Relief Act of 1997 allowing equity investors to keep built-in appreciation in their equity securities while avoiding a sale for tax purposes. Investors must stay current with Treasury regulations regarding constructive sales since the IRS may review the transactions. IRC Section 1259 under the Act lists the recognized constructive sales, including short sales, notional principal contracts, and forwarding contracts and futures contracts.
