What price uniformity? Securing franchisee compliance with suggested retail prices
Article Abstract:
Franchisors seeking to secure franchisee compliance with suggested resale prices must be aware of the Sherman Act's anti-price-fixing per se rule. However, franchisors can condition promotional discounts and cooperative advertising reimbursements on franchisees' compliance, and do have several legal ways to control franchisees adherence to prices. Generally, neither franchisors' nor competitors' franchisees will have standing to bring claims of vertical maximum resale price maintenance.

International franchising: suggestions for compliance
Article Abstract:
US franchisors need to pay close attention to the possible applicability of US laws when entering into foreign franchise agreements. This is especially true in the area of disclosure. Options include developing a second type of agreement for foreign franchisers that does not meet US disclosure guidelines, using the same agreement as would be used for business within the US, or adopting some sort of hybrid approach.
