Article Abstract:
The contractual and extracontractual issues between franchisor and franchisee raised by the acquisition of a franchisor by a competing franchise system are discussed. Mergers, purchases of stock or of assets are all models for such an acquisition.Acquisition of the franchisor by a competing brand leads to more franchise insecurity.

The author discusses potential problems for business enterprises which may arise with the Y2K computer transition including those involving practical business operations and legal liability. Suggestions for management of the potential problems are offered.
