Hummingbird sweetens bid for PC Docs; Open Text withdraws

Article Abstract:

Hummingbird Communications Ltd's C$305-million cash offer on May 13, 1999, to buy PC Docs Group International Inc topped the C$235.5-million hostile bid of Open Text Corp, which withdrew its offer on the same day. According to Open Text, PC Docs did not honor a forged confidentiality agreement giving the former the same access on non-public corporated data given to Hummingbird. The three software firms are seeking means to strengthen their entry into the 'knowledge portal' software market.

Hummingbird to buy PC Docs

Article Abstract:

Hummingbird Communications Ltd has agreed to acquire PC Docs Group International Inc in an all-stock agreement valued at $151 million. Hummingbird bested Solution 6 Holdings Ltd of Australia and Open Text Corp of Waterloo, Ontario, two companies whose separate hostile takeover was thwarted by PC Docs. The deal would create the third-largest software firm in Canada with a revenue totaling C$240 million.

Motorola acquires software tools developer Metrowerks

Motorola Inc of Schaumburg, IL, is purchasing Canadian-born Metrowerks Inc for $141 million in its bid to improve its position in the fast-paced business of computerized devices. The deal involves the acquisition of Metrowerks' 15.2 million outstanding common shares at $9.25 per share. Metrowerks of Austin, TX, sees the merger as an opportunity to remain competitive in the industry.
