Implied liability under s. 10(b) of the Securities Act of 1934
Article Abstract:
The Supreme Court's decision in Central Bank could undermine all future civil liability claims under section 10(b) of the Securities Exchange Act of 1934. The court chose to adopt a strict statutory interpretation of the law and held that aiders and abettors in securities fraud could not be held liable because Congress did not explicitly mention aiders and abettors or their liability in section 10(b). This contradicts case and common law, and probably legislative intent. Furthermore, a similar reading of the statute would suggest that no one can be held liable under section 10(b).
