Golden Parachutes: Controversy Continues over the Use of Executive Bailouts

Article Abstract:

A Golden Parachute is a special agreement that generously compensates key executives after a company takeover or a major shift in stock ownership. The use of the golden parachute is on the increase particularly among industries that are experiencing numerous mergers and acquisitions. It has caused some controversy among management, the Securities and Exchange Commission (SEC), and shareholders. Proponents argue that they objectively analyze a takeover attempt. Many stockholders believe that the compensation paid out to executives is excessive. The SEC's Advisory Commission on Tender Offers has advised the commission to require shareholders to take an 'advisory' vote to approve of management strategies during a takeover maneuver.

Computers can be put to valuable use in a firm's sales department, a fact that management often overlooks. Their uses in order entry, account analysis and performance evaluations are described. Sales personnel might resist the use of a computer. Suggestions for overcoming resistance are made.

Growing costs in the use of executive's computers have become a problem. A chargeback system is a means of reducing costs by making users more accountable. The concepts of profit-based pricing and cost-based pricing are explained. Variations in the chargeback system are also explained.
