A convertible loan provides the lender or investor the freedom to convert the whole or part of the loan into the common stock of a company for a period of time. The two components of a convertible security are conversion rate and conversion price. When using a convertible loan or preferred stock, one must compute the effect on the business and the effect on the stockholders, especially if any conversion cuts their ownership to less than half.
