Protecting your company's privileged information

Article Abstract:

A business owner should be careful when divulging sensitive information to another company during negotiations such as the sale of the company. The other party must be required to sign a Confidentiality Agreement so as to prevent the use of confidential information against the company. An example of a Confidentiality and Nondisclosure Agreement is presented. Pertinent sections of the agreement include the definition, dissemination, ownership, limitations on use, coverage, printed notice, admission to facilities, transfer of rights, all inclusive, state law, future changes and legality.

Models for managing secrets

Article Abstract:

Some basic probability models which describe the trade-offs involved in managing confidential information are developed. Results show that the likelihood of disclosing information increases equal to the square of the number of people who are aware of it. One suggested way to keep information secret is to use disinformation techniques.

Protecting Trade Secrets

Article Abstract:

Procedures concerning protection of trade secrets are outlined. Confidentiality contracts from key employees are recommended. The practice prohibits ex-employees from using trade secrets. Regulation of information is necessary, and a personnel termination procedure should be set up.
