A more diligent approach

Article Abstract:

The process of due diligence is being altered by changes within the acquisition market, such as the growing number of auctioned cross-border disposals and the increasingly complex deal structures. Some advisers are adapting their services to meet the changing needs and are offering a multi-disciplinary service incorporating areas such as legal support, tax structuring and due diligence. Due diligence allows the buyer to identify areas for exit acceleration and value enhancement, while the process in cross-border deals includes analysing the basis of the accounting data.

The rise and rise of the institutional buyout

Article Abstract:

Institutional buyouts have become increasingly popular since 1995. The success of management buyouts have encouraged business vendors to work directly with institutions over deal finance arrangements. Company shareholders are more likely to accept institutional buyers because they offer prices equivalent to trade purchasers. Venture capitalists often drive the institutional buyout because they have plentiful funds. The advantages of institutional buyouts in comparison to management buyouts are discussed.

Fuelling an MBO: a serial entrepreneur with excellent industry knowledge helped 'oil the wheels' when the management buyout of British Fuels from British Coal was concluded in late 1995

Article Abstract:

The 1995 buyout of British Fuels from British Coal is David Port's, chief executive of British Fuels, third buyout triumph. The MBO was a major fund raising exercise and it has since performed well. The management team has a wide knowledge of the fuel distribution industry which helped in assembling a business plan and secure investor support. The banking was secured by NatWest Markets, British Fuels existing banker.
