Enersis approval enables Endesa to launch offer

Article Abstract:

Enersis SA's stockholders approved a bylaw change which will permit Endesa SA (Spain) to continue with its proposed bid of $1.44 billion to control the Latin American power conglomerate. Endesa will not be allowed to boost its stake to over 65% of Enersis due to a limit which still exists on individual shareholdings. Endeasea wants to finish its tender offer by April 7, 1999. If the offer succeeds, Endesa says that it will use Enersis as a platform to expand in Latin America.

Approval of bids ends YPF speculation; Repsol to proceed with $13.4 billion offer

Article Abstract:

The board of Yacimientos Petroleros Fiscales S.A. approved the Argentine oil company's unsolicited takeover by Spain's Repsol S.A. The decision ends speculation that YPF would try to get a higher offer than Repsol's $13.4 billion or try to find another suitor. After the offer closes, Repsol plans to raise up to $6 billion through an offering of stock and equity-related securities. Repsol will try to raise a further $2.5 billion through sales of such asssets as a refinery and 800 Argentine gas stations.
