CHZS: Both parties will pay
Article Abstract:
Chemicke zavody Sokolov (CHZS) (Sokolov, Czech Republic), chemical firm, will have a 73.74% stake acquired by Eastman Chemical (EC) (US). The concern will buy the shares by means of its subsidiary Eastman Chemical The Hague (Gravenhage, Netherlands) from the National Property Fund (NPF) of the Czech Republic for 150 mil Kc. At the same time, EC's subsidiary Lawter International Luxembourg (Luxembourg) will buy the 1.35 bil Kc receivable Konsolidacni banka (KOB) (Prague, Czech Republic) has at CHZS for more than 1 bil Kc. KOB will write the difference off. The bank will also grant a bridge-over credit of 400 mil Kc to raise CHZS's operating capital. CHZS's stock, which amounts to 1.82 bil Kc, will be reduced to cover the 564 mil Kc cumulated loss from the previous years. Subsequently, CHZS's stock will be increased by the investor. The deadline of the transaction is 31 March 2000. CHZS's old environmental burden is worth about 300 mil Kc according to a reviewed environmental audit. The cost on its disposal, which should not exceed a double of the audited estimate, will be covered by NPF.
