Droits des coop rateurs : le tribunal de commerce de Bruxelles suspend la fusion KB-CERA

Article Abstract:

The Belgian co-operative bank Cera should gather its 500,000 members as part of an extraordinary meeting where the merger with the KBC group will be approved or not. In order for the operation to be okayed, three quarters of the participants with a voting right should vote in favour of the merger, according to Modrikamen, the law firm. Modrikamen represents a union of defence of Cera's members with some 100 members who complained about the fact that they were not allowed to exercise their prerogatives as members as part of the merger. More precisely, they complain that the CERA Si ge Central entity would not allow them to disclose their opinion during a general meeting. On 1 July 1998, the Brussels commercial court decided to suspend the merger between Cera and KBC. The latter announced that it would lodge an appeal against the court's decision.

Article Abstract:

Telindus will manage a project to supply a radio communication network to the security and rescue services in Belgium. The Belgian company will also manage the subcontractors, install the maintenance and after-sales services, etc. These activities will generate BFr 4bn in orders for Telindus, which will represent 40% of the contract over the next three years. The contract, which totals BFr 9bn, consists in a TETRA-compliant network which will be supplied and integrated by Nokia. The contract was awarded to the Kreutler-Nokia-Telindus consortium on 26 June 1998. German firm Kreutler will supply the voice recording system.
