Philips may push proxy fight on VLSI

Article Abstract:

Philips Electronics NV (Eindhoven, Netherlands) is considering a proxy fight for VLSI Technology Inc. (San Jose, CA) in a hostile takeover bid. Philips is also considering a tender offer. The VLSI board will meet to discuss the matter. The two companies have held uneventful discussions in the past, which evidently frustrated Philips. Philips has hired bankers, lawyers, a public-relations company that specializes in hostile bids, and Innisfree M&A, a proxy solicitor to assist in the matter. An additional means by which Philips could take over the company is a consent solicitation, whereby any shareholder could initiate a removal of the current board.

Cap Gemini SA sets tender offer for rest of unit

Article Abstract:

Cap Gemini SA announced that it was making a 1.2 billion euro tender offer for the remaining stock of Cap Gemini NV. Cap Gemini NV is the Dutch-based subsidiary of Cap Gemini SA, a computer services firm based in France. The deal is part of Cap Gemini SA's attempt to expand its corporate structure and services internationally. The deal will also increase Cap Gemini SA's control of its most lucrative subsidiary.

Philips Electronics casts off its unprofitable origin unit
