US sees hostile subsidiary bids

Article Abstract:

A new trend in the US acquisitions market is the hostile takeover of subsidiaries. Following several successful acquisitions in the first half of 1995, the trend is set to continue. The uncertain business climate and greater shareholder involvement is encouraging the practice, sometimes known as subsidiary bear hugs. Generally, the target subsidiary must be large enough to have an affect on the parent's stock value and the stalking acquirer must play a waiting game. Recent successful acquisitions include Nine West Group's bid for US Shoe's footwear division.

Networking: new trends in cross-border transactions

Article Abstract:

Acquisition activity has declined recently, particularly cross-border deals, as a result of financial pressures on companies and low levels of confidence among managers and in equity markets. Many concerns are still dealing with purchases made in the 1980s, and there are few interesting acquisition targets left. However, there has been a rise in networking over recent years, with companies focusing on establishing working relationships between themselves in the form of joint ventures, cooperation deals or strategic alliances.

US M&A bandwagon gains speed

Article Abstract:

Merger and acquisition (M&A) activity in the U.S. has continued to rise during the first half of 1995, with announced acquisitions totalling $164.9 billion during the period, up 21% from same period 1994. Leading adviser during the period was Morgan Stanley, followed by CS First Boston and Goldman Sachs. A significant factor is the increasing interest in new industry sectors, such as chemicals, gaming and construction.
