Vive la difference

Article Abstract:

France has traditionally been a favourite market for UK investors seeking European acquisitions and there are large numbers of transactions between the two countries. However, there are basic differences between the way that M&A activity is carried out in France and the UK. Among these factors are the French investor's preception of the UK as a market in its own right, while UK investors in France regard it as an access point to the rest of Europe. Other differences include the role of financial advisers, the scope of due diligence and the approach to valuations.

Banking buyouts in Europe

UK financial concerns which are becoming involved in deals within individual European countries and across European borders must ensure that they are fully aware of the cultural, accounting and legal conditions which will apply to each deal. The banking term sheet is particularly important in pan-European deals. It ensures that bidders can show an awareness of local market procedures and sets out many key issues. It is usually wise to draw up a tailored security package to fund the deal.

Banking on increasing internationalisation

Managing an international acquisition deal can present a wide of legal, taxation, accounting and other difficulties. It can be even hard to overcome cultural and linguistic barriers, and it is therefore vital to have local knowledge. UK bankers and private equity investors should beware of attempting to impose their own business practices in areas where local practice is very different, as this can cause a deal to fail.
