Hercules to buy BetzDearborn in $3.1 billion deal

Article Abstract:

Hercules Inc., a Wilmington, DE-based chemical company, will acquire Trevose, PA-based BetzDearborn Inc. in a $3.1 billion deal. The deal includes the acquisition of BetzDearborn's stock worth $2.4 billion in cash, and the assumption of $700 million in debt. The move is part of Hercules' strategy to expand through acquisitions. The two companies are expected to cut costs by $100 million annually, due to either merging or shutdown of similar operations. The two companies said that there are still no decisions regarding any layoffs, or other cuts. Hercules Chairman and Chief Executive R. Keith Elliott and BetzDearborn Chairman and CEO William R. Cook will serve as co-CEOs of the new company. BetzDearborn produces chemicals used in water-treatment and industrial processes.

Hewlett to buy software company

Article Abstract:

Palo Alto, Calif.-based Hewlett-Packard Co. will acquire Philadelphia, Penn.-based Bluestone Software Inc. for $468 million in stock. The deal will allow H-P, the third-largest computer manufacturer in the world, to use Bluestone's software to provide Internet-based services to its business customers.
