Deutsche's Oslo let-off

Article Abstract:

Deutsche Bank holds a stake of some 47% in Sysdeco, a Norwegian software concern, but does not have to bid for the company. Norwegian securities law is that companies with stakes above 45% have to bid for the remainder, but Deutsche Bank's stake was acquired by Peter Young, a rogue trader. Deutsche Bank does not plan to sell its stake in Sysdeco, which has seen a drop in its share price due to concern that a sale was likely. Deutsche Bank could still face fines in Norway and in the UK.

Eidos: playing anew game

Eidos is a computer software company that is seeking a Nasdaq listing. The company aims to raise 50 million pounds sterling and is asking existing shareholders not to use their pre-emption rights. The company argues that it needs funds to develop new games and dilute exposure to games that fail to sell. There is a danger that the company could use the funds for unwise acquisitions or lose control of its development budget. Shareholders should not vote for this proposal.

Royalblue is a software company which plans a stock flotation in the UK in Jun 1997. The company is a specialist in products for customer help desks, corporate call centers and financial trading systems, the last being the biggest division. The company reported a turnover of 11.7 million pounds sterling for 1996 and profits have increased annually at an average of 184% over three years. The company does not have specific plans for the funds raised from its stock issue.
