Here's a loophole that the feds would create on purpose

Article Abstract:

Small and medium sized companies incurred substantial costs towards audit and related fees for complying with the provisions under section 404 of Sarbanes-Oxley Act. In this context, United States Securities and Exchange Commission has recommended changes that will ease the pressure on these small and medium sized enterprises. However, there is considerable opposition from corporate governance experts who are of the opinion that most of fraudulent activities were from this lot of corporate sector.
