Stakeholding fails to pin companies

Article Abstract:

Stakeholding is a concept which has become popular in the UK, though its meaning is not precise. Companies are traditionally seen as assets owned by shareholders with directors managing the assets. Advocates of the notion of stakeholding argue that companies serve the surrounding community, suppliers and employees. The Confederation of British Industry and institutional investors argue that shareholders should come first, and the notion of stakeholding has yet to be widely adopted in UK corporate culture.

Corporate governance: in support of flexibility

Article Abstract:

A new committee has been asked to examine corporate governance in the UK, and its chairman, Ronnie Hampel, argues that there should be flexibility in how codes are applied. Previous Greenbury and Cadbury codes should be interpreted by companies using their judgement, not merely ticking points from the codes pf conduct, he argues. The UK financial services industry agrees with this view and one spokesman argues that there may be special circumstances where rules should not be taken literally.

Article Abstract:

The Hampel report on corporate governance in the United Kingdom has called for greater flexibility for smaller firms. The report was drawn up by a committee headed by ICI chairman, Ronnie Hampel, asked to review previous reports on corporate governance. He argues that there is no need for a permanent council on corporate governance. Critics argue that he has missed an opportunity, while institutional stockholders favor his pragmatic approach.
