The increasing role of subsidiary boards in MNCs: an empirical study

Article Abstract:

Little study has been undertaken on the subsidiary board's role in multinational corporations. A two-part survey research design resulted in answers from 90 subsidiaries in 36 multinationals in Japan, Europe, and in North America. The sampling reveals that subsidiary boards are thought to be in transition from smaller to larger degrees of proactivity, and that there are a variety of perceptions among the parent multinationals about the utility of the subsidiary boards. Increasingly active use of the subsidiary boards is anticipated. It is recommended that CEOs make greater use of the subsidiary boards, although they should not be viewed as a panacea for reducing tensions between parent corporations and subsidiaries.

The geographic sources of foreign subsidiaries' innovations
