Corporate governance through the proxy process: evidence from the 1989 Honeywell proxy solicitation

Article Abstract:

A proxy soliciation by Honeywell in 1989 is used as a case study of shareholders directly taking part in corporate governance, with an opposition group among the shareholders achieving a restructuring resulting in an increase in the company's market value. The company's reorganization was also affected by a threat from corporate raiders. The events in 1989 brought about better communication between the company's shareholders and its managers. There was also a difference in the willingness of different types of financial institution to back management, or vote against managers' proposals. The case study does involve an extreme situation, and these findings may not apply as a general rule.

Research is presented concerning the evaluation of 2,227 chief financial officer appointments between 1984 and 1997 to determine the factors influencing the succession rate of chief financial officers.
