Current issues in private placements: private/public offerings

Article Abstract:

The placing of private securities must be carefully planned to avoid violation of securities laws. Problems arise because the Securities Act of 1933 blurs the distinctions between public and private stock offerings. Issues affecting private placement, such as offer and sale, convertible securities and warrants, private formation transactions, public to private and private to public offerings, acquisitions, and SEC proposals are discussed.
