European Union's directive will expand wage-earners' rights; the legislation has significant implications for U.S. companies with operations in Europe

Article Abstract:

US businesses which operate in Europe must take note of the European Works Council Directive, adopted by the European Union (EU) on Sep 22, 1994. The directive's goal is improving the rights to information and consultation of workers employed by related companies in member states. When workers so request, a European Works Council is established for this purpose. American companies should identify alternatives, where available, such as the selection of a representative agent and plan a strategy for dealing with requests to negotiate in advance. The directive is described in some detail.

Stocking up: corporate shopping, 1990s style; stock-for-stock business combinations, the decade's M&A deal of choice, will likely continue unabated into the millennium

Article Abstract:

Lawyers helping design stock-for-stock combinations between public companies are a favorite merger-and-acquisition technique of the 1990s but are not rote exercises despite their widespread use. The structure of such a deal is important in its design and has an important perception role to play, helping avoid the impression that one company is acquiring another. Structure also influences voting in an important way. Many stock-for-stock deals need to be accounted as pooling of interests. Other matters of importance are listed.
