Japan

Article Abstract:

Japanese laws and regulations for public and private securities transactions are detailed. Based on US securities regulations, Japanese law mandates registration and disclosure requirements for publicly traded securities. Unlike other countries, however, Japan has strict protectionist policies limiting foreign securities offers and resales, and restricting foreign investors' access to Japanese stock ownership. The rules are complex and illogical and so are in need of reform but that is unlikely to occur any time soon.

Article Abstract:

French securities laws exempt certain French and foreign companies' stock trading from registration and disclosure requirements. France's investor and transaction-specific regulatory system for public and private trading is discussed, with a focus on the Commission des Operations de Bourse's enforcement procedures. France's solicitation law, which is used to classify and monitor registration and disclosure requirements for public trading, is seen as an impediment to both domestic and foreign investing.

Article Abstract:

German laws and enforcement procedures for regulating public and private securities sales are discussed. In compliance with European Community regulations, Germany exempts certain types of privately traded securities transactions from registration and disclosure requirements. Publicly traded securities are regulated by German courts and regulatory bodies, but compared to the US system, Germany has no unified registration and disclosure policy for publicly traded shares.
