Article Abstract:

More than half of the Fortune 500 companies and the same percentage of companies listed on the New York Stock Exchange are incorporated in Delaware, and whenever these have a mjor merger-and-acquisition transaction, a Delaware corporate lawyer works on the deal. These attorneys, practicing in the Delaware Chancery Court and the federal courts, handle Delaware-law questions and other corporate work including corporate anti-takeover measures, shareholder's rights and termination fee provisions.
