The Packers & Stockyards Act of 1921 applied to the hog industry of 1995

Article Abstract:

The Secretary of Agriculture and the Packers & Stockyards Administration should use the Packers & Stockyards Act of 1921 to protect independent hog producers that may be harmed by the anticompetitive behavior of larger producers. The Act was adopted to ensure that farmers received a fair market price for their goods. The burden of proof for harm to competition claims is difficult to meet, but some courts have found that an actual injury need not be proven. Federal agencies should make use of the broad authority that Congress intended to grant under the Packers & Stockyards Act.

The revolution is here: the promise of a Unified Business Entity Code

Article Abstract:

The movement toward development of a Unified Business Entity Code (UBEC) applicable to business entities is ready to go beyond the preliminary stages. A UBEC would aim at eliminating inconsistencies in state regulation of corporations and other entities. The need to simplify the rules facing entities and reduce regulatory complexity are the main justifications for uniformity. The next step is to map out concrete steps for simplification, harmonization, and consolidation of statutes.

The impendiing merger of the inevitable disclosure doctrine and negative trade secrets: is trade secrets law headed in the right direction?

The author describes the transformations in trade secrets law and warns that the inevitable disclosure doctrine is faulty and should not be merged with the negative trade secrets concept.
