The company is a telephone and Web site hosting service selling a combination of local, long distance, dedicated Internet access and advanced data services. It boasts $344 mil in revenue but was forced to file for bankruptcy reorganization in 2001.

Article Abstract:

James E Buckman, the senior executive vice pres and general counsel at the Cendant Corp, a key franchisor of lodging and real estate brokerages, heads a department of 56 in-house attorneys focussing primarily on compliance with state franchise laws as well as FTC rules, trademarks, contracts, securities and litigation The direct marketing business CUC International was acquired in 1997 and found to have been guilty of various fraudulent accounting practices. Buckman considers overcoming the CUC problems to be the largest hurdle he faces.

Article Abstract:

Patricia Nachtigal, the vice pres and general counsel of Ingersoll-Rand Co, a diversified equipment manufacturer with $8.3 bil in net sales in 1998, has 25 in-house attorneys and only hires outside counsel when there is an overflow of work. Simpson Thacher was brought in for the 1995 acquisition of Clark Equipment as that was a hostile takeover. Ingersoll-Rand announced in Mar 1999 a planned purchase of Harrow Industries to expand its architectural hardware group and also part of a company effort to remake itself.
