U.S. securities regulation: the need for modification to keep pace with globalization

Article Abstract:

The US Securities and Exchange Commission (SEC) should respond to increased competition from stock exchanges in other nations by modifying regulations imposed on foreign corporations participating in US capital markets. US filing and disclosure regulations are the most burdensome in the world, and the SEC must acknowledge that US dominance is not ensured. Foreign issuers should be allowed to market securities to institutional investors without having to comply with GAAP accounting standards, and future revisions could expand access to foreign issuers for all investors.

The author reviews actions taken by a number of nations in implementing the International Organization of Securities Commission's International Disclosure Standards for Cross-Border Offerings and Initial Listings by Foreign Issuers. The standard's stock exchange listing provisions are examined.
