Broadcast antitrust consent - Hart Scott Rodino Act

Article Abstract:

Most radio station acquisitions and mergers must comply with the Dept of Justice (DOJ) and Federal Trade Commission (FTC) requirements, including the waiting period and reporting guidelines, under the Hart Scott Rodino (HSR) antitrust legislation. The FTC and DOJ may investigate such transactions, and request additional information following the initial filing of HSR notification form. The filing procedure, information requirements, types of mergers requiring a filing, and challenges to transactions are discussed.

Small market antitrust concerns

Article Abstract:

Antitrust laws apply to radio stations nationwide, including those in small markets. Sales transactions are reviewed by the Federal Trade Commission and the Dept of Justice, and some small acquisitions have been challenged. Generally, the same anti-competitive analysis applicable in larger market transactions is used to evaluate small market deals. Broadcasters' own statements made to banks or other funding sources can be cited by the government as evidence of anti-competitive intent.

Sale of intellectual property

Article Abstract:

A radio station's format, call letters, and other intangible assets are considered intellectual property and may be sold. Formats may be sold without FCC consent, although the FCC must be notified if call letters are assigned to another station. These intellectual property sales are governed by antitrust laws and conceivably could be challenged by the federal government, possibly as illegal market allocation agreements.
