Tele-Communications in United Artists bid

Article Abstract:

Tele-Communications Inc (TCI), the largest cable operator in the US, plans to purchase the 46 percent of United Artists Entertainment that it does not already own in a deal involving 65 million shares of both Class A and Class B stock. Other outstanding United Artists Entertainment preferred stock will be converted into a new form to be issued by TCI. TCI is offering $4.75 in cash for each of the 30 million 'rights' outstanding; only the cash portion of the deal will be taxable. The rights are an open-ended liability for TCI because owners have the right to tender TCI stock at 90 percent of appraised value. The United Artists board will have to approve the stock buyout proposal but not the rights deal.

Time Warner And Comcast Discuss Bid For Adelphia

Article Abstract:

In a deal that will allow Comcast to divest its stake in Time-Warner with minimal taxation, the two companies are considering joining together to purchase Adelphia Communications Corporation.
