The legal implications for personnel management of governmental privatization through incorporation of a subsidiary or related entity to perform public functions are examined. It is essential to understand the method of interactions between a government entity and private corporation performing public services.

Luder v. Endicott: the Fair Labor Standards Act and individual liability of public managers
