Article Abstract:
Owners of a firm may retain control after selling out to a conglomerate by establishing an earnout agreement with the buyers. In this arrangement, the former owners continue to manage the firm for a time, usually a few years. During this time they earn a percentage of the firm's receipts, and this provides an incentive to manage the firm well. These earnings are in addition to the initial buyout sum. Earnout agreements lower the amount of financing that must be acquired by the buyer, and can profit both parties. Legal safeguards must be carefully attended to, however.

US supermarkets turn to "solution selling"
Article Abstract:
A report published by Andersen Consulting and the Grocery Manufacturers of America shows that US food retailers which have tried the new concept of "solution selling" have seen their sales increase. Solution selling is a system used by some supermarkets to help consumers decide which products they should buy for particular applications. For example, someone wishing to cook a pasta dish could find all the ingredients in one place, plus a recipe card and ingredient list.
