Formulating governance standards; in adopting formal guidelines to improve board-of-director functions, companies should review some available precedents

Article Abstract:

The institutional investors, which have come to dominate US capital markets, have pressed public companies to come up with governance policies designed to improve the functioning of corporate directors.General Motors Corp's 1994 publication of guidelines added impetus was a highly-publicized instance of the many corporations to develop guidelines. These should reflect a company's unique circumstances but general headings are mission statements, board structure, director selection and evaluation, board operations, management oversight and board self-evaluation.

How will it work if every class is protected?

Article Abstract:

The evolution of US hate crime legislation from in the 25 years starting with 1970 indicates how far American society has developed. Americans now take for granted that the federal government must protect its citizens from hatred. A satire of the topic makes it clear that this could, however, be carried too far and it could become a crime to make fun of any class of people.
