International investors eye project financing
Article Abstract:
Project financing differs from traditional financing in that it is non-recourse to the project sponsor, and is gaining popularity as a means of financing cross-border investments. Since the project sponsor is not obliged to repay principal or interest if project cash flows are insufficient, this type of financing can be advantageous in third-world countries, where increased risk may make investors or their lenders reluctant to fund a project without some limit on their liability.

Article Abstract:
Strategic investments in public companies entail a long-lasting bond of the investor and company, so negotiations will be complex and cover acquisition issues and issues defining the future relationship. Corporate issues such as stockholder approval and corporate governance may enter into the picture, as may contractual provisions for board and committee representation, approval rights, change-of-control participation rights, a standstill agreement and neutralized voting.

Article Abstract:
SEC standards for CD-ROM prospectuses which are one vehicle companies can use to raise new capital show that the agency recognizes the importance of the electronic media and their speed of development. The agency also accepts that making standards too specific might limit applications in this rapidly changing field and so leaves it up to companies to find ways of satisfying the two goals of giving potential customers timely notice and access to such materials.
