U.S. legal considerations affecting global offerings shares in foreign companies
Article Abstract:
US securities regulations can affect public or private offerings made as part of global equity offerings. In global offerings of foreign companies' shares, the laws of other countries must be coordinated with US rules. The effects of Rules 10b-6, 10b-7, and 10b-8, NASD rules, due diligence, disclosure, Regulation S, and other regulations must be considered in making global equity offerings involving US private placement or public offerings, or in similar transactions affected by the extraterritorial reach of US regulations.
