Article Abstract:

Issues concerning the taxation of foreign investments in Canadian private companies are examined, focusing on the cases where such investments become taxable Canadian property and ways in which transactions should be structured in order to increase tax benefits. Topics include definitions of taxable property under the Canadian Income Tax Act, treatment of partnerships and limited liability companies, and advantages of restructuring investments as convertible debt.

Canada becomes the latest signatory to the Inter-American Convention Against Corruption. Currently, 19 countries have pledged to join the effort to expand and codify business ethics. By signing the Convention, participating countries pledge to criminalize a broad range of corrupt and dishonest business practices.
