Cracking deal

Article Abstract:

Dow Chemical is to acquire Union Carbide, creating a company with a market capitalization of over $35 billion. Chemical companies have been under pressure from institutional investors to specialise and Union Carbide specialized in commodity chemicals and was hit by a cyclical downturn. The company has also faced consolidation in its markets, so has become more vulnerable to globalization. Globalization has meant pressure on margins from major customers such as car producers.

Unilever's decision to divest its chemicals companies, worth an estimated $8 billion, resulted from its decision to restructure itself due to more international competition. US chemicals firms have the greatest market share, a condition unlikely to change.
