Director networks director selection: the board's strategic role

Article Abstract:

The role of a board of directors in governing corporations is well-known, but the large numbers of hostile acquisitions in the 1980s have focused attention on whether boards are carrying out their duties in a responsible way. The three key roles of any board of directors are advice, strategy and control. However, the strategic role of directors has remained relatively unresearched, particularly the impact of directors serving on multiple boards. A research project in which directors give their perceptions of their roles and responsibilities is presented.

Transforming former state-owned companies into market competitors in Poland: The ABB experience

Article Abstract:

Asea Brown Boveri (ABB) is an experienced investor in Poland and has made several acquisitions, in each case, having to restructure the management and transform state owned firms into lean market competitors. ABB found that the structure and procedures and human resource aspects of acquired firms need to be developed simultaneously, so that the previously common and unacceptable features of the former state owned management are not reinforced.

The presence of academic research relating to strategy and strategic management is examined. An attempt is made to identify strategies that will be useful like a walking stick for succeeding.
