Disclosure of know-how in research joint ventures

Article Abstract:

Research joint ventures (RJVs) normally encounter technical incertainty as their anticipated cost usually relies on the disclosure of know-how by the partners. Each partner may have little motivation to reveal its know-how for more often than not, RJV partners are simultaneously rivals in other markets. It was demonstrated that the incorporation of penalties can be a way of relieving the incentive predicament or the specific rationality restrictions. Furthermore, it is found that an RJV can be a substitute to validating contracts for the dissemination of know-how.

International mergers and trade liberalization: implications for unionized labor

Article Abstract:

The pattern of international mergers is predicted using an international oligopoly model constructed using unionized and non-unionized firms. Results reveal that high levels of trade costs may benefit unionized workers from a merger between non-unionized firms, whereas low levels of trade costs make unionized firms highly vulnerable to an international merger.

To merge or to license: implications for competition policy

Article Abstract:

As per the prescription of the U.S. Horizontal Merger Guidelines, mergers should be allowed only when both royalties and fixed fees are not feasible. But, if only of them is feasible, patent licensing is an alternative mechanism that may allow the firms to attain those efficiencies.
