Creature from the green lagoon: the long arm of environmental law reaches out in unexpected ways

Article Abstract:

Canadian corporate businesses are becoming more aware of the influence of environmental legislation towards business values. Canadian environmental laws list a number of environmental liabilities for businesses ranging from financial penalties to cleanup obligations. Environmental valuators face a difficult task of obtaining information for corporations due to constantly changing legislation and lack of detailed information on environmental issues. Although environmental liabilities have a clear impact on total business value,they do not necessarily result in a direct cut in asset values.

No agreement, no sale: is the key man discount dead?

Article Abstract:

Vendors often offer noncompetition and employment covenants to potential buyers of businesses in order to garner the highest price they can get. There is, however, a lack of consensus in the notional market on whether valuation should be computed taking these agreements for granted. Court agreements that bear on the influence of of such agreements on goodwill value in the notional market are examined and discussed.
