Article Abstract:

The successful use of the bylaw amendment by the State of Wisconsin Board (SWIB) may set a precedent for stockholders of US companies. The move was the first time stockholders were able to have a say on the repricing of stock options. Prior to SWIB's decision to pass a bylaw amendment, it tried to negotiate with General DataComm Industries but was ignored. The victory of SWIB is an emerging trend where stockholders are increasingly getting involved on corporate governance issues.

Information about the current stock option management trends by companies are outlined. Some companies are issuing employees new options for trade with their old options, exercisable at $10 per share.
