Corporate governance: sliding seamlessly into the twenty-first century

Article Abstract:

Corporate governance has reached a state of equilibrium between the demands of accountability and profitability, a state that could be maintained into the 21st century. The increased power gained by shareholders has contributed to the stability of the current regime. After a period of turmoil, adversarial positions have been relinquished in favor of mutual acceptance, negotiation and accommodation between investors and management, as well as a better understanding between business lawyers and academics. The balance could be undermined, however, if shareholders lose power or the Securities and Exchange Commission's effectiveness is diminished.

Corporate governance in Korea at the millennium: enhancing international competitiveness

Article Abstract:

South Korea's corporate governance system is reviewed and recommendations for its legal reform to protect against a repeat of the country's governance-related financial crisis given. Recommendations include enhancing the role of corporate boards of directors and requiring cumulative voting and preemptive rights for public companies.

Privatization and corporate governance in a united Korea

Article Abstract:

The author outlines a possible economic privatization strategy for a reunited Korea. Topics include the current systems of industrial organization in both North and South Korea and economic privatization strategies employed by Germany and in eastern Europe.
