Selected developments concerning the federal securities laws and in the market for corporate control

Article Abstract:

The resurgent market for acquisitions and mergers, or corporate control, could be affected by a number of court decisions, securities litigation reform legislation, and SEC attempts to streamline disclosure requirements. SEC efforts to curb litigation abuse and encourage capital formation should aid the market. Securities litigation reform measures include safe harbors for forward-looking statements, discovery stays, contribution reforms, restraints on frivolous lawsuits, limits on use of RICO, and similar legislation.

Recent developments in shareholder communications, shareholder initiatives, and the market for corporate control

Article Abstract:

Shareholders have become more actively involved in mergers and acquisitions in the late 1990s, triggering changes in federal securities law and state court decisions. Regulation 13D-G has been amended, effecting passive investor eligibility and what constitutes Chinese walls and issuer control influence. Regulation 14A has also been amended, effecting exclusions. Case law and defensive strategies are included.

Recent developments in securities class actions

Article Abstract:

The Private Securities Litigation Reform Act of 1995 has brought about several changes to how securities class action suits are conducted. A summary of the act's changes to securities laws and relevant procedural considerations is presented.
