Taming volcanic issues of lodging and leisure property ownership

Article Abstract:

Governance, control and liability issues of entity ownership have become more pronounced as partnerships, joint ventures and limited liability firms increase their assets in the lodging and leisure industry. Although regulation in the form of the Uniform Partnership Act and the Uniform Limited Partnership Act have been adopted by many states, variations have developed that affect issues in legal cases.

The Applicability of the Doctrine of Adequate Assurances to Real Estate Contracts

Article Abstract:

The Court of Appeals extended a doctrine of applicable to sale of goods to long term commercial contracts between corporate entities that are complex and not reasonably suseptible of all security features being anticipated , bargained for and incorporated in the original contract. This is the doctrine of adequate assurances as codified in the Uniform Commercial Code.
