A practical look at ERISA's fiduciary duty rules
Article Abstract:
A growing amount of litigation during recent years seeks court definition of otherwise clear but general provisions of the Employee Retirement Income Security Act of 1974 (ERISA). Some of the provisions affect the fiduciary aspects of corporate transactions involving employees, including layoffs, early retirement programs and divestitures. A definition of basic fiduciary duties is presented, and fiduciary duties related to decisions about employee benefits are examined at length.

Whether a compliance program's reduction of criminal liability is economically worth it depends on if it offsets the costs in dealing with civil issues. Programs must be well planned in order to reduce both criminal and civil liability exposure.
