Powerful mergers

Article Abstract:

Recent acquisitions in the UK electricity sector have raised a number of regulatory issues under the Electricity Act 1989 and the Water Industry Act 1991, in cases where water/sewage companies were involved. The acquisitions resulted in a number of mergers, which are being monitored by the Office of Fair Trading. An overview of some of the issues raised is given, including details of specific cases.

It is essential that Italian companies planning to merge have a thorough understanding of local law. A number of different structures are provided by Italian law to facilitate an acquisition or merger. An analysis of the instruments for acquisition transactions is presented, including purchase of shares, acquisition of a going concern, acquisition by merger and acquisition by demerger.
