Liquidating a REMIC - in cash or in kind

Article Abstract:

Liquidation of a Real Estate Mortgage Investment Conduit (REMIC) can be handled as a taxable cash distribution of sale proceeds or, where parties prefer, as an in-kind liquidation involving more complex tax issues. A cash liquidation takes place assets are sold resulting in a gain or loss passthrough to residential interest holders (RIHs), and subsequent gain or loss on the holders' surrender of REMIC certificates. Although the taxes are calculated similarly in an in-kind transaction, special considerations arise when the RIHs want the REMIC's mortgages distributed to themselves or sold to a third party, or when application of like-kind exchange or wash sales rules is desired.
